Terms and Conditions

Welcome to SyncIRL. These Terms and Conditions ("Terms") govern your use of the SyncIRL mobile application ("App") operated by SyncIRL LLC ("SyncIRL," "we," "us," or "our"). By creating an account or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 18 years old to use SyncIRL. By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Account Registration

• You must provide accurate, complete, and current information during registration.
• You are required to verify your phone number during account setup. Phone verification is mandatory for all accounts.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You may not create multiple accounts, impersonate another person, or transfer your account to anyone else.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. Description of Service

SyncIRL is a platform that connects people with local events, venues, and each other. The App provides:

• Discovery of local events, venues, and activities.
• Ticket purchasing for events through the App.
• Social features including crew formation, lobbies, and connections with other users.
• Event reminders and notifications.

4. Ticket Purchases and Payments

• Ticket purchases made through SyncIRL are processed by Stripe, Inc. By making a purchase, you agree to Stripe's terms of service.
• All ticket prices are displayed in US dollars and include applicable fees at the time of checkout.
• Tickets are delivered electronically via the App and/or SMS to your verified phone number.
• Each ticket contains a unique QR code. You are responsible for keeping your QR code secure. Do not share screenshots of your ticket QR code.
• Refund policy: Refund eligibility depends on the event and venue. Refund requests must be submitted before the event date. Approved refunds are processed to the original payment method within 5-10 business days. SyncIRL reserves the right to deny refund requests for events that have already occurred.
• SyncIRL is not responsible for event cancellations, postponements, or changes made by venues or event organizers. In the event of a cancellation by the organizer, we will facilitate refunds where possible.

5. SMS Communications

By verifying your phone number, you consent to receive SMS messages from SyncIRL, including:

• One-time verification codes for account security and login.
• Ticket confirmations and delivery.
• Event reminders for purchased or bookmarked events.

Message and data rates may apply. Message frequency varies based on your activity and purchases. You may opt out of non-essential messages at any time by replying STOP. For help, reply HELP or contact support@syncirl.com.

Opting out of SMS does not affect verification codes required for login or ticket delivery for active purchases.

6. User Conduct

You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable laws.
• Harass, threaten, intimidate, or harm other users.
• Post false, misleading, or fraudulent information.
• Attempt to gain unauthorized access to other user accounts or SyncIRL systems.
• Use the App to scrape data, send spam, or engage in any automated or bulk activity.
• Resell tickets purchased through SyncIRL at a markup without authorization.
• Circumvent or interfere with the App's security features.

We reserve the right to investigate violations and take appropriate action, including account suspension or termination, at our sole discretion.

7. User Content

You retain ownership of content you submit (photos, bios, messages). By submitting content, you grant SyncIRL a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating and promoting the App. You represent that you have the right to submit any content you provide and that it does not infringe on any third party's rights.

8. Safety and Community

• SyncIRL facilitates connections between users but does not conduct background checks or verify the identity of users beyond phone verification.
• You are solely responsible for your interactions with other users, both online and in person.
• Exercise caution when meeting people in person. Meet in public places and inform someone you trust of your plans.
• Use the block and report features to flag inappropriate behavior. We take reports seriously and will investigate promptly.

9. Intellectual Property

The SyncIRL name, logo, design, and all related content, features, and functionality are owned by SyncIRL LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the App or its content without our prior written consent.

10. Third-Party Services

The App integrates with and may link to third-party services, including ticketing platforms, payment processors, and map providers. Your use of these services is subject to their respective terms and privacy policies. SyncIRL is not responsible for the actions, content, or practices of any third-party services.

11. Disclaimers

The App is provided "as is" and "as available" without warranties of any kind, whether express or implied. SyncIRL does not warrant that the App will be uninterrupted, error-free, or secure. We do not guarantee the accuracy, completeness, or reliability of any event listings, venue information, or user-generated content.

12. Limitation of Liability

To the maximum extent permitted by law, SyncIRL LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App, including but not limited to: loss of profits, data, or goodwill; personal injury or property damage resulting from interactions with other users or attendance at events; event cancellations or changes; or any unauthorized access to your account.

Our total liability for any claim arising from or related to these Terms or the App shall not exceed the amount you paid to SyncIRL in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless SyncIRL LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the App, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

You may delete your account at any time. We may suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination, your right to use the App ceases immediately. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, and Indemnification) will survive.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes through the App or via email. Your continued use of SyncIRL after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the App.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles. Any disputes arising from these Terms or the App shall be resolved in the state or federal courts located in Hennepin County, Minnesota.

17. Dispute Resolution

Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at legal@syncirl.com. If the dispute cannot be resolved within 30 days, either party may pursue formal resolution in accordance with the Governing Law section above.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SyncIRL regarding your use of the App.
